Constellation Names Leading Energy Attorney As General Counsel

Company repositions senior executive leadership to leverage opportunities from growing data center economy

BALTIMORE (Dec. 16, 2024) — Constellation (Nasdaq: CEG), the nation’s largest producer of clean, emissions-free energy, announced today it has hired Matthew Price as general counsel, effective December 11, 2024. Price, who clerked for U.S. Supreme Court Justice Stephen Breyer and most recently served as a partner at Jenner & Block and co-chaired the law firm’s energy practice, will help oversee legal affairs at Constellation.

Price has represented clients on a range of energy policy issues including market design, carbon regulation, transmission policy and other matters before federal and state courts, the Federal Energy Regulatory Commission, U.S. Environmental Protection Agency, the Department of Energy, state public utility commissions and other federal agencies.

“Matthew has deep experience litigating and counseling on matters involving energy policy and regulation, including defending state programs that support emissions-free nuclear power plants,” said David Dardis, Executive Vice President, Chief Legal and Policy Officer, Constellation. “I am excited to partner with Matthew and for him to bring his industry expertise to Constellation as we continue to deliver reliable, affordable clean energy to our customers and communities.”

Price will report to Dardis, who will have leadership of both the legal and policy functions at Constellation as part of a broader reorganization announced internally in October. There have been several changes to the roles and responsibilities of Constellation’s executive committee members to best position the company for growth opportunities from rising demand for reliable, clean energy and the burgeoning data economy:

  • Executive Vice President (EVP) Kathleen Barrón and EVP and Chief Financial Officer Dan Eggers will co-lead Constellation’s data center customer business development initiatives, working to ensure that the company’s clean energy centers are poised to power the AI boom.
  • Barrón also will lead the company’s efforts to identify new opportunities to bring new reliable, clean energy sources to the grid. She will continue to lead Strategy, Corporate Affairs, Sustainability and Corporate Development, and in recognition of her new responsibilities, her title has expanded to Chief Strategy and Growth Officer.
  • David Dardis has become EVP and Chief Legal and Policy Officer, and in addition to his continued oversight of legal, corporate compliance, and corporate governance, will lead the government and regulatory affairs work previously under Barrón. This change leverages Dardis’s broad political and government affairs experience and while creating additional capacity for Barrón’s growth and customer work.
  • EVP and Chief Commercial Officer Jim McHugh and Constellation’s Commercial team will continue to partner closely with Eggers and Barrón on expanding and growing strategic relationships with key customers for both co-located and grid-connected sales.
  • EVP and Chief Administration Officer Mike Koehler will be leveraging his strong and deep relationships with technology leaders to also support the business development work.
